Terms & Conditions of Service
1. Introduction
Welcome to Resensio. These Terms & Conditions (“Terms”) govern your access to and use of Resensio’s services, including review monitoring, sentiment and theme analysis, market intelligence reporting, and any custom research or academic services (collectively, the “Services”). By using our Services or requesting a quote, you agree to these Terms.
2. Definitions

Client / You: Any individual, company or institution that purchases or uses Resensio Services.

Service(s): All products and services offered by Resensio, including data collection, analysis, reports, research projects, and consultancy.

Deliverables: Reports, datasets, presentations, dashboards, or other outputs produced for the Client.

Public Reviews: Reviews, comments and feedback that are publicly visible on third-party platforms.
3. Scope of Services
Resensio will provide the Services described in the applicable proposal, quote or order form. The scope, platforms monitored, reporting cadence, and fees are set out in the agreed proposal or order confirmation.
4. Client Obligations

Provide accurate information, platform links, and any necessary access to business accounts or exported data that you own.

Confirm that you have the rights to share any private data you provide to Resensio.

Appoint a contact person to receive reports and act on recommendations.
5. Data Collection & Use

Resensio analyzes publicly available reviews and feedback by default. For private or internal channels (e.g., internal surveys, Zendesk, CRM), the Client must provide data or grant access.

Resensio will not republish or redistribute raw, identifiable review text to third parties unless explicit permission is granted. Deliverables are primarily aggregated, anonymized, and summarized insights.

Clients may request anonymized raw exports (CSV) as part of deliverables; such requests must be agreed and may incur additional fees.
6. Intellectual Property

Resensio owns all intellectual property rights in the methods, models, analysis tools, templates, and reports created and used to deliver the Services, except where a specific deliverable is expressly transferred in writing.

The Client retains ownership of its own raw data and any content it provides to Resensio.

Resensio grants the Client a non-exclusive, non-transferable license to use delivered reports and materials internally for the Client’s business purposes, subject to payment of all fees and compliance with these Terms.
7. Copyright & Use of Third-Party Content

Reviews and content from third-party platforms remain the intellectual property of their authors and platform owners. Resensio’s reports reference or summarize such content but do not claim ownership.

The Client accepts responsibility for complying with third-party platform Terms of Service when providing access or requesting analysis of content.

Resensio will not reproduce or redistribute third-party reviews verbatim in client-facing public materials without explicit permission.
8. Fees, Invoicing & Payment

Fees are set out in the applicable proposal. Unless stated otherwise, invoices are payable by bank transfer or other agreed method.

Annual subscriptions may be offered at a discount (as per proposal). Prices shown on the website are indicative; a formal quote will be provided per engagement.

Late payments may incur suspension of Services until payment is received.
9. Confidentiality

Each party will keep confidential any Non-Public Information received from the other party and use it only for performance under these Terms.

Confidential information excludes information that is public, already known to the recipient, independently developed, or required to be disclosed by law.
10. Warranties and Disclaimers

Resensio will perform Services using reasonable skill and care. However, Resensio does not guarantee any specific commercial outcome (e.g., revenue uplift, ranking improvement).

Reports are based on available public data and the information provided by the Client. Resensio is not responsible for inaccuracies in Client-provided data.
11. Limitation of Liability

To the fullest extent permitted by law, Resensio’s total aggregate liability arising out of or related to these Terms will not exceed the total fees paid by the Client for the Services in the 12 months preceding the claim.

Resensio is not liable for indirect, incidental, special or consequential losses (including lost profits, loss of business or goodwill).
12. Indemnification
The Client will defend, indemnify and hold Resensio harmless from any claims, liabilities, damages, losses and expenses arising from the Client’s breach of these Terms, unauthorized use of third-party content, or violation of applicable law.
13. Termination

Either party may terminate the agreement for material breach if the breach is not remedied within 30 days of written notice.

On termination, the Client will pay for Services performed up to the termination date. Resensio will provide final deliverables as agreed and return or securely destroy Client confidential information upon request.
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the United Arab Emirates. Any dispute shall be referred to the competent courts of Sharjah, unless the parties agree to arbitration.
15. Changes to Terms
Resensio may update these Terms from time to time. Material changes will be notified to Clients and will not apply retroactively to Services already rendered without agreement.
